Axiom provides a non-transferable warranty to the purchaser of Axiom hardware
product purchased from an authorized Axiom reseller. Axiom warrants to the
end user, that this product, excluding content and or software supplied with
or on the product, will be free from material defects in manufacture, will
conform to Axiom’s published product specifications and be fit for normal use
during the Warranty Period specified on the warranty page commencing on the
date of purchase provided that the product is legally placed on the market.
The warranty period will vary by specific product, as identified in your user
documentation, on the product package, or as listed in the attached listing
of Axiom Warranty Periods. In the event any of these warranty periods differ,
the longest specified warranty period will apply.
Axiom will, at its option, either repair or replace any part of its products
that prove defective by reason of improper workmanship or materials. Axiom
may at its option repair this product or provide you with an equivalent product;
and if unable to repair or replace the product, will refund the purchase price.
Axiom will also require that the defective warranted product be received before
a replacement product or RMA is issued.
Axiom will not be liable for indirect or consequential damage (including loss
of data), or for damage caused by improper use (including use in an incompatible
device and use not in accordance with the instructions), or by improper
installation, unprofessional repair, modification or accident. This constitutes
Axiom’s entire liability which will never exceed the price you paid for it, plus
the necessary costs you made for the warranty claim. Axiom products must not be
used in applications where failure could threaten injury or life, such as life
support systems.
National, state and local laws may grant you other rights that are not affected by
this warranty.
Axiom does not warrant that the Product will be free from non-substantial
design defects or errors. Further, this Limited Warranty does NOT cover:
(1) any costs associated with the repair or replacement of the Product
including labor, installation or other costs incurred by the Buyer, and
in particular, any costs relating to the removal or replacement of any
Product that is affixed to another device; or (2) damage to the Product
due to external causes, including accident, problems with electrical power,
abnormal electrical, mechanical or environmental conditions, usage not in
accordance with Product instructions, misuse, neglect, alteration, repair,
improper installation, or improper testing; or (3) any Product which has been
modified or operated outside of Axiom’s specifications or where the original
identification markings (trademark or serial number) has been removed, altered
or obliterated from the Product.
THIS LIMITED WARRANTY REPLACES ALL OTHER WARRANTIES FOR THE PRODUCT AND AXIOM
DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION,
THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
NONINFRINGEMENT, COURSE OF DEALING AND USAGE OF TRADE. Some jurisdictions do not
allow the exclusion of implied warranties so this limitation may not apply to
purchasers in those jurisdictions. ALL EXPRESS AND IMPLIED WARRANTIES ARE LIMITED
IN DURATION TO THE LIMITED WARRANTY PERIOD. NO WARRANTIES APPLY AFTER THAT PERIOD.
Some jurisdictions do not allow limitations on how long an implied warranty lasts,
so this limitation may not apply to purchasers in those or jurisdictions.
AXIOM’S RESPONSIBILITY UNDER THIS OR ANY OTHER WARRANTY, IMPLIED OR EXPRESS,
IS LIMITED TO REPAIR, REPLACEMENT, REFUND, OR CREDIT, AS SET FORTH ABOVE. THESE
REMEDIES ARE THE SOLE AND EXCLUSIVE REMEDIES FOR ANY BREACH OF WARRANTY. THIS
LIMITED WARRANTY GIVES THE BUYER SPECIFIC LEGAL RIGHTS, AND THE BUYER MAY ALSO
HAVE OTHER RIGHTS THAT VARY BY STATE OR JURISDICTION.
Axiom’s Products are not authorized for use as critical components in life support devices or systems without the express written approval of an officer of Axiom. As used herein: (1) life support devices or systems are devices which (a) are intended for surgical implant into the body, or (b) directly support or sustain life or whose failure to perform when properly used can be reasonably expected to result in significant injury to the user; and (2) a critical component is any component in a life support device or system whose failure to perform can be reasonably expected to cause the failure of the life support device or system or to affect its safety or effectiveness.

All warranty periods start from the date of purchase by the original customer.
Any discontinued products that are not listed in the warranty will
no longer be covered.

In the event that you need to return your Axiom products for repair or replacement, Axiom will provide you with a Return Merchandise Authorization Number (RMA#) as well as return instructions. Do not return your product without prior approval from Axiom. Any product returned without a valid, unique RMA# will be refused and returned to the sender at the sender's expense. To avoid problems at the time of receipt, clearly write your RMA# on the outside of the package and include a copy of your RMA confirmation e-mail within the package.
Component Resale.
Customer shall not engage in the business of reselling components purchased
from Axiom, or removing components from the product(s) for resale, except upon
express prior written authorization of Axiom.
Entire Agreement.
These terms and conditions, including those on the face hereof, constitute the
entire agreement with regard to this sale and expressly supersede and replace
any prior or contemporaneous agreements, whether written or oral, relating to
said sale, including any terms and conditions on any of the customer's
documents or purchase orders. This agreement shall be binding upon the heirs,
successors, and assignees of the parties hereto. If any provision of this
agreement shall be held to be invalid or unenforceable, the remainder of this
agreement shall remain in full force and effect.
Governing Law, Jurisdiction, and Costs.
This agreement is governed by the laws of the State of California, without
regard to its conflict or choice of law provisions. The customer acknowledges
and agrees that California is an appropriate place for venue of any litigation
and that California courts have jurisdiction over this agreement and customer.
In the event the customer and Axiom are unable to resolve any customer dispute,
and any collection action, suit, or other judicial proceeding is commenced,
the prevailing party in any such collection action, suit, or judicial proceeding
shall be entitled to recover its costs and reasonable attorneys' fees incurred.
ANY ACTION TO ENFORCE THE TERMS OF THIS LIMITED WARRANTY SHALL BE FILED AND
LITIGATED IN THE COUNTY OF ORANGE, STATE OF CALIFORNIA, USA. THE TERMS OF THIS
LIMITED WARRANTY SHALL BE CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF
CALIFORNIA.
Terms and Conditions.
This sale is subject to the terms and conditions stated herein, which are in
lieu of and replace any and all terms and conditions set forth in any
documents issued by customer, including, without limitation, purchase orders
and specifications. In case of conflict between the terms and conditions
stated here and those on the face hereof, those on the face hereof shall
control. ANY ADDITIONAL, DIFFERENT, OR CONFLICTING TERMS AND CONDITIONS ON
ANY SUCH DOCUMENT ISSUED BY THE CUSTOMER AT ANY TIME ARE HEREBY OBJECTED TO
BY AXIOM, AND ANY SUCH DOCUMENT SHALL BE WHOLLY INAPPLICABLE TO ANY SALE
MADE HEREUNDER AND SHALL NOT BE BINDING IN ANY WAY ON AXIOM.
It is commonly believed and there have been reported incidents where networking, storage, and computer system manufacturers, have informed customers that if third-party products or upgrades are being used in the system manufacturer's hardware application, the warranty for that system would be voided. The truth is, no third-party product voids the original system warranty, and in addition to anti-trust laws, it violates the Magnuson-Moss Act to coerce any consumer with this tactic. Regardless if the pressure or coercion is directed through a distributor or reseller, any tie-in provision that forces the consumer to purchase a manufacturer's own equipment or brand, whether the consumer didn't want to buy the product at all, or preferred to purchase the product elsewhere under different terms, U.S. laws are being violated.
From a legal standpoint, this type of sales-tactic is referred to as a
"tie-in sales provision." In general, these kinds of provisions are illegal.
Per section 102(c) of the Magnuson-Moss Warranty Act of 1975 (15 United
States Code section 2302(c)) these types of sales tactics are prohibited in
the consumer market. Sections 1 and 2 of the Sherman Antitrust Act (15 United
States Code sections 1 and 2) states that these types of activities can be
considered violations as well.
The Federal Trade Commission's Magnuson-Moss Act protects consumers to
purchase 'The OEM Alternative'.

You cannot be required to add the Manufacturer's memory, hard drive, or other
OEM branded upgrade or accessory to maintain the warranty on the system. Also,
the OEM Manufacturer cannot state that the system warranty is void if other
brands (third-party) are used.
For example: If you purchased a Proliant ML 370 Server and chose to install
Axiom Upgrades, or any third-party manufacturer memory for that matter, HP cannot
void the warranty or refuse to provide service on your computer.
